Can You Rely on Online Contract Templates?

Man commits contractor fraud.

What Makes a Contract Valid?

A valid contract must contain four essential elements:

  • Offer – one party proposes terms.
  • Acceptance – the other party agrees to those terms.
  • Consideration – something of value is exchanged (money, goods, services, promises).
  • Mutual Assent – both parties clearly agree to the same terms.

⚖️ If even one of these is missing, a court will not recognize the agreement as a valid contract.

North Carolina: Templates Allowed with Restrictions

In North Carolina, online contract templates are allowed under N.C. Gen. Stat. 84-2.2, but only if certain conditions are met:

  1. The provider’s website must meet specific standards.
  2. Consumers must be able to preview the document (blank or completed) before purchase.
  3. A licensed North Carolina attorney must review the template.
  4. The document must clearly state it is not a substitute for legal advice.

Additionally, providers must register with the NC State Bar and comply with consumer protection safeguards.

Tennessee: Proceed with Caution

Tennessee does not have a statute specifically regulating online contract templates. While general consumer protection laws apply, they don’t offer specific guidance for contracts downloaded from the internet.

➡️ This makes it essential to consult a Tennessee attorney to ensure your agreement complies with state law.
(See Tenn. Code Ann. § 47-18-5202; Tenn. Code Ann. § 47-50-110.).

South Carolina: Risk of Unauthorized Practice of Law

South Carolina law doesn’t directly address online templates, but S.C. Code Ann. § 37-7-116 prohibits anyone from offering legal services without attorney supervision.

👉 Translation: if you rely on a generic template without an attorney’s review, you could end up with an invalid contract or one that fails to protect your interests.

Why Generic Templates Are Risky

While templates seem convenient, they often come with hidden dangers:

  • Unfair terms – You may unknowingly agree to unfavorable conditions.
  • Missed opportunities – Templates don’t allow for negotiation or customization.
  • Legal liability – You may be held accountable for terms you didn’t fully understand.

📌 Example: A lease template might include an automatic renewal clause. Without realizing it, you could be locked into another year of payments you never intended.

Courts have made it clear: signing a contract without understanding it is still binding (Sullivan v. Max Spann Real Estate & Auction Co., 251 N.J. 45).
